1. Acceptance of terms

By accessing or using the website at swiftamedex.com(the “Site”) or any digital service operated by Amedex Limited(“Amedex”, “we”, “our”, or “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use the Site or its services.

These Terms apply to all visitors, users, and others who access the Site, whether on behalf of themselves or an organisation. Use on behalf of an organisation constitutes that organisation's acceptance of these Terms.

2. Who we are

Amedex Limited is a limited liability company registered under the Companies Act, 2019 (Act 992) of the Republic of Ghana. Our registered office is located in Airport City, Accra, Ghana. We operate across agriculture, civil construction, transport, sanitation, and real estate.

3. Use of the site

You may use the Site for lawful purposes only. You must not:

  • Use the Site in any way that violates any applicable national or international law or regulation.
  • Transmit any unsolicited or unauthorised advertising or promotional material.
  • Attempt to gain unauthorised access to any part of the Site, the server on which it is stored, or any server, computer, or database connected to the Site.
  • Attack the Site via a denial-of-service or distributed denial-of-service attack.
  • Introduce viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful.
  • Misrepresent your identity or affiliation when submitting contact forms, RFP submissions, or vendor applications.

4. RFP and contact submissions

Information submitted through the Site's RFP intake, vendor onboarding, or contact forms is received by Amedex's authorised staff. Submission does not constitute a binding agreement, a commitment to respond, or a guarantee of any commercial relationship. Amedex reserves the right to decline to respond to any submission at its sole discretion.

You warrant that any information you submit is accurate, current, and complete, and that you have the authority to submit it on behalf of the organisation named.

5. Intellectual property

The Site and its content — including but not limited to text, graphics, logos, images, project case studies, and software — are owned by or licensed to Amedex Limited and are protected by Ghanaian and international intellectual property laws.

You may access and view the content for your personal, non-commercial use only. No content may be reproduced, distributed, modified, adapted, translated, or otherwise exploited without prior written permission from Amedex, except as expressly permitted by law.

Nothing in these Terms transfers any intellectual property rights to you.

6. Disclaimer of warranties

The Site and its content are provided on an “as is” and “as available” basis without any representation or warranty, express or implied. To the fullest extent permitted by applicable law, Amedex disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Amedex does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Project figures, dates, and case study information on the Site are provided for general informational purposes and do not constitute representations or warranties of future performance.

7. Limitation of liability

To the maximum extent permitted by Ghanaian law, Amedex and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising out of or in connection with your use of, or inability to use, the Site, even if Amedex has been advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

8. Third-party links

The Site may contain links to third-party websites. These links are provided for your convenience only. Amedex has no control over the content of those sites and accepts no responsibility for them or for any loss or damage that may arise from your use of them.

9. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to the data practices described in the Privacy Policy.

10. Changes to these terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or operational practices. The most recent version will always be published on this page with an updated effective date. Continued use of the Site after any changes constitutes your acceptance of the revised Terms.

11. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Ghana. Any dispute arising out of or in connection with these Terms — including any question regarding their existence, validity, or termination — shall be subject to the exclusive jurisdiction of the courts of the Republic of Ghana.

For disputes between commercial parties, either party may elect to resolve the matter by arbitration under the rules of the Ghana Arbitration Centre, with proceedings conducted in Accra in the English language.
